1. Prohibition of Creating Multiple Accounts
Creating multiple accounts with different email addresses to manage various associations is prohibited. Each person may only use one account to manage their associations.
2. Principles of Our Service
Chorilo takes the protection of your data very seriously. We stand for a protected space for any group internals. Chorilo ensures not to pass on or sell any data, conversations, or uploaded files to third parties.
3. Inactive Trial Versions
Chorilo reserves the right to delete trial versions if they are inactive for longer than 4 weeks, i.e., no access occurs.
4. User Responsibilities
Chorilo employs various measures to prevent unauthorized third-party access to your data. Ensure that your login credentials, such as username and password, do not fall into unauthorized hands. Please log out after using Chorilo on devices (computers, tablets, smartphones, etc.) to which unauthorized persons might have access.
Chorilo merely provides the technical infrastructure for uploading and sharing sheet music and other files. Users are solely responsible for ensuring they possess the necessary rights for the content they upload. Particularly concerning sheet music, users are obligated to independently handle correct licensing and ensure no copyrights are infringed. Chorilo assumes no liability for copyright infringements caused by user-uploaded content. In cases of justified suspicion of legal violations, Chorilo reserves the right to remove corresponding content and potentially restrict the access of the user concerned.

6. Disclosure of Data
Chorilo generally does not disclose personal data, except: you provide explicit consent; if, in Chorilo's assessment, there is a legal obligation to disclose; if necessary to protect the safety of other Chorilo users; if necessary to enforce the Terms of Service or Chorilo's rights, or to conduct related investigations.
7. Changes to Terms of Service
Chorilo has the right to change these Terms of Service at any time. The most current version is available at https://www.chorilo.com/terms.
8. Fair Use Principle for File Storage
Unlimited sheet music and corresponding audio material may be uploaded for the choir. Additionally, attachments to notifications and images related to the ensemble are allowed in photo albums. It must not be used as a file share for others outside the choir or for purposes other than for the choir. Chorilo reserves the right to impose restrictions or charge additional fees in case of excessive or abusive use of storage space. Abusive use includes, in particular, uploading content not directly related to choir work or the ensemble, such as private photos without ensemble connection, videos, or other files unrelated to choir activities. Chorilo reserves the right to review and potentially delete uploaded content if abuse is suspected. In cases of repeated misuse, access to the service may be restricted or terminated.
9. Sheet Music Shop - Marketplace for Sheet Music

Chorilo operates a sheet music shop where sheet music is offered for sale. Chorilo is the seller of the offered sheet music and enters into the purchase contract directly with the buyer. The sheet music offered in the shop originates from various publishers and rights holders ("Publishers") who have authorized Chorilo to distribute their content.
Verantwortlichkeit der Publisher / Publisher Responsibility
Publishers warrant and guarantee to Chorilo that they possess all necessary rights to the offered sheet music. This includes in particular: (1) copyrights, reproduction rights, and performance rights, (2) the right to authorize Chorilo for distribution, (3) accuracy and completeness of provided product descriptions and metadata. Publishers commit to indemnify Chorilo from all third-party claims arising from legal violations of the offered sheet music. This includes the assumption of all legal defense costs.

Chorilo relies on the Publishers' assurances regarding the legality of the offered content. Chorilo does not review content for legality and assumes no liability for copyright infringements or other legal violations caused by material provided by Publishers. In case of legal violations, Chorilo will assert its indemnification claims against the respective Publisher. In cases of justified suspicion of legal violations, Chorilo reserves the right to immediately remove corresponding content from sale and terminate cooperation with the Publisher.
Rechte der Käufer / Buyer Rights
Buyers acquire through purchase usage rights to the sheet music for non-commercial use within their choir/ensemble. The acquired license includes: (1) The right to reproduce according to the number of licenses purchased, (2) The right to perform the work in concerts and rehearsals, (3) The right to internal use within the choir/ensemble (e.g., rehearsals, performances), (4) The right to digital use within the Chorilo platform. The number of permitted copies corresponds to the number of licenses purchased. Each license entitles the creation of one copy for one choir member. Within Chorilo, a license is automatically assigned when a member opens the sheet music for the first time. For use outside of Chorilo (e.g., printed copies), the choir director must manually assign a license in the license management system. Resale or commercial transfer of purchased sheet music to third parties is not permitted. Distribution within the choir/ensemble to members covered by the number of licenses is expressly allowed. For commercial performances or recordings, additional rights may be required, which must be obtained separately from GEMA or the rights holder. In case of violations of the terms of use, Chorilo reserves the right to take legal action.
Widerrufsrecht / Right of Withdrawal
According to EU consumer protection law (specifically § 356 para. 5 BGB for German customers), there is no right of withdrawal for digital content when execution has begun with the buyer's express consent before the end of the withdrawal period. By clicking "Buy Now" and subsequently downloading the purchased sheet music, the buyer declares express consent to immediate contract fulfillment and thereby waives the right of withdrawal.

Users are encouraged to report legal violations, erroneous content, or technical problems in the Sheet Music Shop immediately to [email protected]. Chorilo will review reported violations and take appropriate action if necessary, including removal of affected content and assertion of claims against the respective Publisher.
Zahlungen / Payments
Payment processing is handled through the payment service provider Stripe. All prices include applicable sales tax. Refunds are only possible in case of technical problems that prevent proper use of the purchased sheet music (e.g., faulty download, corrupted files). Refunds due to dissatisfaction or after successful download are excluded. For technical problems, please contact [email protected] within 14 days of purchase.
Gewährleistung / Warranty
Chorilo warrants that the files provided for download are technically sound and free from viruses or malware. Chorilo does not warrant the content accuracy, completeness, or quality of the sheet music, as these are the responsibility of the respective Publisher. Defects must be reported immediately upon receipt of the sheet music.
10. Payments and Subscriptions
Subscriptions are processed through the payment service provider Stripe. Prices include applicable sales tax. Subscriptions automatically renew unless canceled before the end of the billing period. Cancellation can be done at any time through subscription management. In case of payment default, Chorilo reserves the right to restrict access to the service.
Sub-Ensemble Subscriptions
A sub-ensemble is an independent ensemble that organizationally belongs to a main choir, for example a youth choir, project choir, chamber choir, or singing school of the same association or organization.
Sub-ensembles can use a discounted annual rate (33€/year instead of 100€/year) if the associated main choir has an active annual subscription. A monthly subscription for sub-ensembles is not available.
Linking an ensemble as a sub-ensemble is done through subscription management. The user must be an administrator of both the sub-ensemble and the main choir. When linking, the user confirms that it is a genuine sub-ensemble.
Chorilo reserves the right to verify eligibility for the sub-ensemble rate. In case of misuse (e.g., linking ensembles without actual organizational affiliation), Chorilo may cancel the sub-ensemble subscription and charge the regular rate retroactively.
The sub-ensemble subscription is tied to the active annual subscription of the main choir. If the main choir's subscription is canceled or switched to a monthly subscription, the sub-ensemble loses eligibility for the discounted rate. In this case, the sub-ensemble subscription will be terminated at the end of the current term and must be continued as a regular subscription.
The link can be removed at any time through subscription management. After removing the link, the ensemble requires its own subscription at the regular price.
Widerrufsrecht / Right of Withdrawal
Right of Withdrawal for Subscriptions: Consumers generally have a statutory right of withdrawal of 14 days. However, since the Chorilo software is fully usable immediately after the subscription is concluded and the provision of digital content begins with the conclusion of the contract, the right of withdrawal expires in accordance with § 356 para. 5 BGB (German Civil Code). By concluding a subscription and immediately activating access, you expressly agree that the provision of services begins immediately and acknowledge that you thereby lose your right of withdrawal. This applies to both paid subscriptions and trial periods where access is activated immediately.
11. Contract Formation and Contract Duration
The contract is formed through registration and selection of a subscription plan. During registration, the customer chooses between monthly or annual billing. Subscriptions have no minimum term and can be canceled at any time until the end of the respective billing period. Cancellation is made through the subscription management in the user account or by email to [email protected]. Cancellation is possible until shortly before the next automatic payment. After cancellation, access remains until the end of the paid period. Trial versions end automatically after the trial period expires unless a paid subscription is concluded.
Datenaufbewahrung / Data Retention
After termination of the contract, the ensemble's user data (sheet music, documents, member lists, etc.) will be retained for a period of 90 days to enable restoration in case of accidental cancellation. After this period expires, all user data will be irrevocably deleted. Invoices and tax-relevant documents will be stored in accordance with statutory retention periods (10 years). Users are strongly recommended to independently back up important data (sheet music, documents, member lists) before contract termination. Chorilo provides an export function for the most important data.
12. Termination by Chorilo
Chorilo reserves the right to terminate the contract extraordinarily and without notice for good cause. Good cause exists in particular in the case of: (1) payment default of more than 14 days despite reminder, (2) serious violations of these Terms of Service, especially copyright infringements, (3) abusive use of the platform or storage space, (4) endangering the security or stability of the platform through user behavior, (5) violation of legal provisions, especially distribution of illegal content (e.g., glorifying violence, racist, pornographic, or otherwise criminal content), (6) harassment, threats, or discrimination against other users, (7) attempted hacking, manipulation, or unauthorized access to other accounts or systems, (8) use of the platform for fraudulent or unfair purposes. In case of extraordinary termination by Chorilo, no pro-rata refund of already paid amounts will be made. Chorilo will generally warn the user before termination and provide an opportunity to remedy the situation, unless this is unreasonable due to the severity of the violation (e.g., in case of illegal content or security incidents).
13. Liability and Warranty
Haftung / Liability
Chorilo is liable without limitation for intent and gross negligence as well as for damages arising from injury to life, body, or health. For slight negligence, Chorilo is only liable for breach of essential contractual obligations (cardinal obligations), whereby liability is limited to foreseeable, contract-typical damage. Liability for data loss is limited to the typical recovery effort that would have occurred with regular and appropriate data backup by the user. Chorilo does not guarantee uninterrupted availability of the software. Maintenance work will be carried out outside usual usage times whenever possible and will be announced. Liability under the Product Liability Act remains unaffected.
Gewährleistung / Warranty
Chorilo strives for high availability of the software and aims for 99.4% availability on an annual average, excluding planned maintenance work. Chorilo does not guarantee that the software runs error-free or that all errors can be fixed. In case of defects, Chorilo will endeavor to remedy them within a reasonable time. A claim for rectification only exists for significant defects that substantially impair the use of the software.
Datensicherung / Data Backup
Chorilo performs regular database backups. Nevertheless, users are strongly recommended to independently back up important data (especially uploaded sheet music and documents). Chorilo is not liable for data loss that could have been avoided through regular own data backup. The software's export functions enable users to back up their data at any time.
14. Chat Function
Chorilo offers a chat function for communication between ensemble members. The use of the chat function is subject to the following conditions:
Code of Conduct
The following rules of conduct must be observed when using the chat function:
- Respectful interaction with other members
- No insults, threats, or hate speech
- No distribution of illegal content
- No spam messages or unwanted advertising
- No content that could endanger minors
Moderation and Filtering
Chorilo uses automatic word filters to detect and censor inappropriate content. Messages can be reported by users and are reviewed by the Chorilo team. Chorilo reserves the right to delete messages and suspend users in case of violations.
Consequences for Violations
In case of violations of the code of conduct, Chorilo may take the following measures: warning, temporary suspension of the chat function, permanent account suspension. In case of serious violations (e.g., criminally relevant content), Chorilo reserves the right to inform the relevant authorities.
Reporting Violations
Users can report inappropriate messages directly in the app. Reports are sent to the Chorilo team and not to the ensemble leadership. For organizational matters within the ensemble, please contact your choir director directly.
Liability for Content
The respective senders are solely responsible for the content of chat messages. Chorilo assumes no liability for user-generated content but reserves the right to take action against illegal content.
15. Referral Program
Chorilo offers registered ensembles the opportunity to refer other ensembles and receive commissions. Participation in the referral program is subject to the following conditions:
Commissions and Payout
Referring ensembles receive 50% of the first payment made by the referred ensemble as commission. Payment is made automatically to the referring ensemble's Stripe account after the 14-day withdrawal period has expired, provided the referred ensemble has not canceled their subscription. Chorilo reserves the right to refuse or reclaim payment in case of suspected abuse or violations of these terms.
Advertising Restrictions and Prohibited Practices
To ensure fair competition and avoid brand conflicts, the following restrictions apply to the promotion of referral links:
- The use of Google Ads, Bing Ads, or other paid search engine advertising with keywords containing 'Chorilo' or variations thereof (e.g., 'Chorilo Software', 'Chorilo Choir', 'Chorilo App') is expressly prohibited.
- The use of the 'Chorilo' trademark in domain names for advertising landing pages is not permitted.
- Misleading or deceptive advertising that gives the impression of being officially from Chorilo is prohibited.
In case of violations of these advertising restrictions, Chorilo reserves the right to terminate participation in the referral program, withhold pending commissions, and reclaim already paid commissions. Repeated or serious violations may result in account suspension.
Use of Referral Credits
Credits earned through the referral program on the Stripe account serve exclusively as credit for transactions within the Chorilo platform. This includes in particular offsetting against subscription fees and purchases in the Chorilo Sheet Music Shop. When payments are due, the available credit is automatically used to reduce or fully settle the costs. Cash withdrawal of credits is not possible. Credits do not expire and remain valid until they are used for Chorilo transactions or the ensemble account is closed.
Cash Payout in Special Cases
In special exceptional cases, particularly in the context of contractual agreements for influencer marketing, cooperation partnerships, or other special business arrangements, a cash payout of commissions may be made following prior written agreement with Chorilo. This option exists exclusively on the basis of an individual contract and requires the express consent of Chorilo. For regular referrals without special agreements, only the credit regulation according to the section 'Use of Referral Credits' applies.
16. Jurisdiction and Applicable Law
Anwendbares Recht / Applicable Law
All legal relationships between Chorilo and the user are exclusively governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Mandatory consumer protection provisions of the country in which the consumer has their habitual residence remain unaffected.
Gerichtsstand / Jurisdiction
If the user is a merchant, legal entity under public law, or special fund under public law, the exclusive place of jurisdiction for all disputes arising from this contract is Montabaur, Germany. For consumers, the statutory place of jurisdiction applies.
17. Final Provisions
Salvatorische Klausel / Severability
Should individual provisions of these Terms of Service be or become invalid or unenforceable, this shall not affect the validity of the remaining provisions. The invalid or unenforceable provision shall be replaced by a valid provision that comes closest to the economic purpose of the invalid provision. The same applies to any regulatory gaps.
Gesamtvereinbarung / Entire Agreement
These Terms of Service constitute the entire agreement between the user and Chorilo and replace all previous oral or written agreements. Changes or additions require text form (e.g., email).
Sprachversion / Language Version
These Terms of Service are available in German and English. In case of contradictions between the language versions, the German version shall prevail.
